The Governance Committee plays a vital role in strengthening AGA’s leadership, structure, and accountability. By advising the National Governing Board (NGB) on best practices, policies, and leadership development, the committee ensures that AGA is governed effectively, ethically, and strategically.

What the Governance Committee Does

The Governance Committee serves as a strategic advisory group to the NGB, focused on three core objectives:

  1. Enhancing the leadership capacity of board members
  2. Maintaining a strong and effective governance structure
  3. Encouraging transparency, accountability, and responsiveness to AGA members and stakeholders

Key responsibilities include:

  • Recommending updates to AGA’s governance principles and practices
  • Advising on the skills, experience, and diversity needed for effective board service
  • Supporting board member orientation, education, and succession planning
  • Conducting board self-assessments and evaluations
  • Reviewing leadership position descriptions and recommending changes
  • Assessing and recommending improvements to the structure and performance of AGA’s boards and committees
  • Monitoring legal, regulatory, and best practice trends in nonprofit governance
  • Supporting diversity and inclusion across national leadership roles

Each year, the committee sets its strategic focus areas and goals, based on input from the NGB and AGA leadership.

Why It Matters

Strong governance ensures that AGA is able to carry out its mission with integrity, accountability, and effectiveness. The Governance Committee helps the NGB and national leadership stay aligned with evolving best practices, empowering the association to meet its strategic goals and serve members with excellence.

Who Serves on the Committee

The Governance Committee includes five to eight members, appointed by the National President and ratified per AGA’s Bylaws. The committee includes:

  • At least three current or former NGB/NEC members
  • At least one Past National President

Members typically serve three-year terms, subject to annual reappointment by each incoming National President. The committee is chaired by an appointed member and supported by AGA staff as needed.

Meetings and Operations

The committee meets at least quarterly by conference call, with additional meetings scheduled as needed. All members are expected to attend and actively participate. Committee actions require either a majority vote during a meeting or unanimous written consent.

The Governance Committee may also consult with legal counsel, advisors, or external experts (with prior NGB approval) to support its work.
